These Terms of Service govern access to and use of Rhei websites, applications, command-line tools, MCP integrations, APIs, documentation, and related services. They are written for a product that helps people build and sustain software with AI agents by providing context, memory, review evidence, and governance controls.

Introduction

By accessing or using Rhei, you agree to these Terms. If you use Rhei on behalf of an organization, you represent that you have authority to bind that organization, and references to "you" include that organization.

Your use of Rhei is also subject to our Privacy Policy and Data Use & Privacy Overview, which describe how Rhei handles account data, local code intelligence, source-upload modes, model-provider boundaries, and training defaults.

1. Eligibility and accounts

  • You must be legally able to enter into these Terms.
  • You are responsible for keeping account credentials secure and for activity under your account.
  • You must provide accurate account, billing, and contact information when required.
  • If your employer or organization provides your account, additional organization terms or controls may apply.

2. Access to Rhei

Rhei may provide local tools, hosted services, beta features, paid Pro capabilities, and integrations with editors, agent runtimes, MCP clients, model providers, infrastructure providers, and source-code platforms.

We may change, suspend, or discontinue features as the product evolves. Some features may be experimental, rate limited, gated by entitlement, or available only in selected environments.

3. Acceptable use

You agree not to use Rhei to:

  • Violate laws, rights, licenses, contracts, or security obligations.
  • Attempt unauthorized access to systems, data, accounts, networks, or services.
  • Interfere with, overload, reverse engineer, or abuse Rhei infrastructure or access controls.
  • Upload or process content you do not have the right to use with Rhei.
  • Bypass review gates, consent flows, billing controls, or safety limits.
  • Use Rhei outputs as a substitute for professional legal, security, financial, or safety advice.

4. Local mode, code context, and agents

Rhei is designed to give AI agents context and control before they edit. Local code maps, memory, receipts, validation evidence, and policy gates may remain on your machine when using local modes. Server-backed or Pro capabilities may send selected context to Rhei or configured providers according to the feature and settings you choose.

You are responsible for reviewing agent actions, generated plans, patches, recommendations, and outputs before relying on them. Rhei can help surface evidence and guardrails, but it does not guarantee that an agent's output is complete, secure, correct, or suitable for production.

5. Rhei Pro, trials, and billing

Paid plans, trials, credits, entitlements, rate limits, and billing terms may be shown at checkout, in product, or in an order form. Unless stated otherwise, fees are non-refundable except where required by law.

We may change plan features, pricing, quotas, or trial availability with notice where required. If a payment fails or an entitlement expires, we may limit or suspend access to paid capabilities.

6. Customer content and ownership

As between you and Rhei, you retain ownership of code, prompts, files, repositories, feedback, and other content you provide to Rhei. You grant Rhei the rights needed to provide, secure, debug, and improve the services you choose to use, consistent with our privacy and data-use disclosures.

Rhei does not claim ownership of your customer code. Rhei does not train models on customer code by default. See the Data Use & Privacy Overview for details on local mode, Pro requests, source upload, and provider boundaries.

7. Third-party services and model providers

Rhei may interoperate with third-party services such as editors, MCP clients, source-code hosts, cloud infrastructure, analytics, payment processors, and model providers. Those services may have their own terms, privacy policies, and security practices.

You are responsible for configuring third-party credentials, provider settings, workspace permissions, repository access, and model paths in a way that matches your obligations.

8. Feedback

If you provide feedback, suggestions, issues, benchmarks, or ideas about Rhei, you allow us to use them without restriction or compensation, while you retain ownership of any underlying content you already own.

9. Suspension and termination

You may stop using Rhei at any time. We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay fees, or use the services in a way that may harm Rhei, users, or third parties.

Sections that by their nature should survive termination, including ownership, disclaimers, liability limits, payment obligations, and general legal terms, will survive.

10. Disclaimers

Rhei is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not warrant that Rhei will be uninterrupted, error-free, secure, or that outputs from agents, models, tools, code maps, validations, or review gates will be accurate or complete.

You are responsible for testing, validating, reviewing, and approving any code, configuration, documentation, or operational decision before use.

11. Limitation of liability

To the fullest extent permitted by law, Rhei and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill arising from or related to your use of Rhei.

To the fullest extent permitted by law, our total liability for claims related to Rhei will not exceed the amounts you paid to Rhei for the service giving rise to the claim during the twelve months before the claim.

12. Changes to these terms

We may update these Terms from time to time. When we do, we will publish the updated version and update the date at the top of this page unless another notice is required by law. Continued use of Rhei after changes become effective means you accept the updated Terms.
